Welcome to OutSmart. These Terms of Use ("Terms") govern your access to and use of the OutSmart website, learning platform, programs, community spaces, coaching services, digital content, events, mobile or WhatsApp-assisted booking journeys, and any related products or services offered by OutSmart ("Services").
Throughout these Terms, "OutSmart", "we", "us" and "our" refer to OutSmart World Pvt Ltd, operating the OutSmart brand. "You", "your" and "user" refer to any person who visits, browses, registers for, purchases, participates in, contributes to, or otherwise uses our Services.
By accessing our website, registering for a program, purchasing a course, joining a cohort, booking a coaching session, interacting with our community, submitting information, or otherwise using our Services, you agree to be bound by these Terms, our Privacy Policy, Refund and Cancellation Policy, Community Guidelines, and any additional terms displayed for specific programs or services.
If you do not agree with these Terms, please do not access or use the Services. We may update these Terms from time to time. Your continued use of the Services after any update means you accept the revised Terms.
Section 1: Eligibility
You may use the Services only if you are legally capable of entering into a binding agreement under applicable law. If you are below the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian.
- •If you are a parent or guardian permitting a minor to use OutSmart, you are responsible for that minor's use of the Services, including purchases, communication, participation in programs, and compliance with these Terms.
- •Certain programs, coaching sessions, community spaces, or events may have additional eligibility requirements, such as age, professional experience, prior learning, or consent requirements.
- •We reserve the right to refuse, restrict, suspend, or terminate access where eligibility requirements are not met or where use of the Services may create legal, safety, ethical, or operational concerns.
Section 2: Scope of Services
OutSmart is a coaching-led practical learning ecosystem designed to help learners grow in career, leadership, confidence, communication, self-mastery, workplace readiness, and real-life skills. Our Services may include, without limitation:
- •Free educational and inspirational content across the website, social media, email, newsletters, videos, blogs and other channels.
- •Short bootcamps, concepts programs, self-paced courses, live workshops, cohort-based programs and structured learning journeys.
- •Personalised 1:1 coaching, coach-on-demand sessions, mentor-led discussions, expert sessions and action-plan based guidance.
- •Community spaces, peer learning groups, live events, webinars, reflection tasks, resources, worksheets and assignments.
- •AI-enabled recommendations, diagnostics, learning nudges, action-plan generation, progress tracking, or personalisation features, where available.
- •Corporate, university, institutional, SME or group programs offered under separate commercial arrangements.
We may add, remove, revise, repackage, discontinue, or modify any Service, program, feature, coach, price, schedule, learning format, platform interface, or availability at our discretion, subject to applicable law and any specific commitments made at the time of purchase.
Section 3: Educational and Coaching Disclaimer
OutSmart provides educational, professional development and coaching services. Our content and coaching are intended to support learning, self-awareness, career readiness and personal growth. They are not a substitute for professional legal, medical, psychiatric, financial, tax, immigration, recruitment or therapeutic advice.
- •No guarantee of outcomes: We do not guarantee a job, promotion, salary increase, admission, business growth, interview conversion, mental health outcome, financial return, or any specific result from using the Services.
- •Your responsibility: You are responsible for your decisions, actions, applications, career moves, workplace conduct, business decisions, and use of any strategies, frameworks or suggestions shared through OutSmart.
- •Emergency support: OutSmart is not a crisis, medical, psychological emergency or suicide-prevention service. If you face a medical, mental-health or safety emergency, contact local emergency services or qualified professionals immediately.
- •Professional boundaries: Coaches, mentors and experts may share guidance based on experience and expertise, but their advice is not guaranteed to be complete, suitable for every circumstance, or independently verified for your specific situation.
Section 4: Account Registration and Security
To access certain Services, you may be required to create an account, submit information, join a platform, purchase access, or register through the website, mobile interface, WhatsApp-assisted flow, community platform, or third-party tool.
- •You agree to provide accurate, current and complete information during registration, purchase, booking and participation.
- •You are responsible for maintaining the confidentiality of your login credentials, access links, community invitations and payment details.
- •You must not share, sell, transfer, sublicense, pool or make available your account, course access, coaching session, paid program, login credentials, community access, recordings, resources, or materials to any unauthorised person.
- •You agree to notify us promptly if you suspect unauthorised access, misuse of your account, fraudulent activity or a security incident.
We may suspend or terminate accounts that appear inaccurate, fraudulent, inactive, duplicated, shared, misused or in violation of these Terms.
Section 5: Pricing, Payments and Taxes
OutSmart may offer free content, paid courses, bootcamps, cohort programs, coaching sessions, memberships, subscriptions, expert sessions, institutional packages and other paid Services. Prices, offers, taxes, currency, inclusions and validity may vary by program, geography, learner category, coach availability and platform channel.
- •All fees must be paid in full through the payment methods made available by us or our authorised payment partners, unless otherwise agreed in writing.
- •Prices may be updated, withdrawn or corrected at any time. Changes will not normally affect purchases already confirmed, unless there has been a clear pricing error, fraud or payment failure.
- •You are responsible for any applicable taxes, bank charges, foreign exchange fees, payment gateway fees, platform fees or other charges associated with your purchase.
- •We may refuse, cancel, verify, or place on hold any order, booking or enrolment that appears fraudulent, unauthorised, incomplete, duplicated, reseller-driven, payment-failed or inconsistent with these Terms.
For institutional, university, corporate or bulk programs, pricing, deliverables, invoicing, payment terms and cancellation terms may be governed by a separate written agreement.
Section 6: Bookings, Cancellations, Refunds and Access
Program access, coaching bookings, live cohorts, expert sessions and digital resources may be subject to specific access windows, schedules, validity periods, seat limits, platform rules, coach availability and refund or cancellation terms displayed at the time of purchase.
- •Self-paced programs: Access may be provided for a limited period or as described on the relevant program page. Downloading, copying, recording or redistributing materials is not permitted unless expressly allowed.
- •Live cohorts and workshops: Dates, timings, speakers, coaches and session formats may be subject to change due to operational requirements, availability, force majeure or low enrolment.
- •1:1 coaching and coach-on-demand: Sessions may require advance booking and may be subject to rescheduling, cancellation windows, no-show rules and coach-specific availability.
- •Refunds: Refund eligibility, if any, will be governed by the Refund and Cancellation Policy or the specific terms displayed at the time of purchase. Unless expressly stated, completed sessions, consumed digital products, downloadable resources, expired access, no-shows, and partially attended programs may not be refundable.
- •Rescheduling: We may allow rescheduling within defined limits. Repeated rescheduling, late arrival, failure to attend or misuse of booking slots may result in forfeiture of the session or access.
- •Technical access issues: If you are unable to access a purchased Service due to a verified platform-side issue, we will make reasonable efforts to restore access or provide a suitable remedy as determined by us.

Section 7: User Conduct and Prohibited Use
You agree to use OutSmart respectfully, lawfully and responsibly. You must not directly or indirectly:
- •Use the Services for any unlawful, fraudulent, harmful, abusive, misleading or unauthorised purpose.
- •Violate any applicable law, regulation, court order, intellectual property right, privacy right, publicity right, confidentiality obligation or third-party right.
- •Upload, post, transmit or share content that is false, defamatory, hateful, harassing, sexually explicit, discriminatory, threatening, violent, exploitative, obscene, invasive of privacy, or otherwise objectionable.
- •Share another person's private, confidential, financial, employment, academic, medical or sensitive information without lawful permission.
- •Attempt to scrape, copy, download, record, reproduce, resell, mirror, reverse engineer, bypass paywalls, bypass access controls, or exploit any part of the Services without written permission.
- •Use bots, scripts, automated tools, credential stuffing, denial-of-service methods, malware, viruses, malicious code or other methods that disrupt security or platform integrity.
- •Misrepresent your identity, impersonate any person or organisation, create fake accounts, manipulate reviews, or submit misleading credentials or testimonials.
- •Harass, pressure, solicit, spam, recruit, sell to, or commercially exploit coaches, learners, team members, community participants or partners outside approved OutSmart channels.
- •Use the Services to make high-stakes decisions for yourself or others without independent professional advice where appropriate.
Violation of this section may result in warning, content removal, session cancellation, account restriction, access suspension, termination, legal action, or reporting to relevant authorities where required.
Section 8: Community Guidelines
OutSmart community spaces are designed for learning, reflection, support, accountability and professional growth. To keep them safe and valuable, you agree to:
- •Engage respectfully with learners, coaches, mentors, facilitators and team members.
- •Share feedback, opinions and personal experiences responsibly without attacking, shaming or exposing others.
- •Protect confidentiality of discussions, peer stories, screenshots, recordings, documents, assignments and community conversations.
- •Avoid self-promotion, spam, political campaigning, religious provocation, unrelated sales pitches, recruitment messages or external links unless permitted by OutSmart.
- •Not record, screenshot, publish or share community sessions, posts, messages or member details without consent.
We may moderate, edit, hide, remove or report community content that violates these Terms or undermines learner safety, trust or experience. We may remove users from community spaces without refund where serious or repeated violations occur.
Section 9: Coach-on-Demand and 1:1 Sessions
OutSmart may offer personalised coaching and mentor access through coach-on-demand, individual sessions, packages, expert calls or premium programs. These services are intended to provide practical guidance, self-reflection, clarity and action planning.
- •Coach matching: We may recommend or match coaches based on your selected need, program type, coach availability, language, domain, geography, experience or other factors. A coach match is not a guarantee of outcome or suitability for every situation.
- •Session scope: Coaching may cover career growth, leadership readiness, communication, confidence, self-mastery, personal branding, workplace challenges, job readiness, transitions or related areas. It does not include therapy, emergency support, legal representation, recruitment placement, medical diagnosis or financial advisory.
- •Session conduct: You must attend sessions on time, behave respectfully, avoid recording without consent, and not misuse coach contact details or personal information.
- •Action plans: Any action plans, notes or recommendations are guidance tools only. You remain responsible for implementing, adapting or declining them based on your context.
- •Coach changes: We may replace, reassign or reschedule a coach if required due to availability, conflict of interest, quality standards, safety or operational reasons.
- •Recordings: Sessions may be recorded only where clearly communicated and consented to, or where required for quality, compliance or safety purposes, subject to our Privacy Policy and applicable law.
Section 10: AI-Enabled Features and Personalisation
OutSmart may use AI-enabled features to support diagnostics, personalised recommendations, reflection prompts, learning pathways, progress nudges, session summaries, action plans or follow-up resources. These features are designed to support, not replace, human judgement and coach-led guidance.
- •AI outputs may be incomplete, inaccurate, generic, outdated or unsuitable for your specific context. You should review and apply them carefully.
- •Do not rely solely on AI-generated content for important career, legal, financial, medical, psychological, academic, employment or business decisions.
- •You should not enter sensitive, confidential, third-party, employer-proprietary, financial, medical, government-identification or highly personal information into AI features unless the platform specifically requests it and you are comfortable sharing it.
- •We may improve AI-enabled features over time, including by analysing de-identified or aggregated usage patterns, subject to our Privacy Policy and applicable law.
Section 11: User Content, Reviews and Submissions
You may be able to submit, upload, share or provide content such as comments, questions, assignments, reflections, resumes, profiles, posts, reviews, feedback, testimonials, ideas, documents, images, videos, messages, or other materials ("User Content").
- •You retain ownership of your User Content, subject to the licence you grant to us in these Terms.
- •By submitting User Content, you grant OutSmart a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to use, host, store, reproduce, adapt, display, distribute, communicate, moderate, translate and process such content for operating, improving, securing, marketing and delivering the Services.
- •For testimonials, reviews, success stories or feedback, you permit us to use your name, image, designation, location or other details only as provided by you or as separately consented to, subject to applicable law and our Privacy Policy.
- •You represent that you have the rights and permissions required to submit User Content and that it does not violate any law, contract, confidentiality obligation, privacy right, intellectual property right or third-party right.
- •We may remove, moderate, edit or refuse User Content that violates these Terms, our policies, platform safety standards, legal requirements or brand values.
We are not obligated to maintain User Content in confidence unless we specifically agree in writing or our Privacy Policy applies. You should avoid sharing information that is private, confidential or not intended for public or group settings.
Section 12: Intellectual Property and Learning Materials
All rights, title and interest in the OutSmart brand, website, platform, designs, logos, trademarks, programs, course content, videos, frameworks, slides, workbooks, worksheets, diagnostics, prompts, session formats, coaching models, community formats, AI-generated templates, text, graphics, interfaces, software, and other materials are owned by OutSmart or its licensors, unless otherwise stated.
- •Your purchase or enrolment gives you a limited, personal, non-transferable, non-exclusive, revocable right to access and use the relevant Services for your own learning and development.
- •You must not copy, reproduce, distribute, publish, sell, resell, license, share, upload, record, livestream, modify, create derivative works from, or commercially exploit OutSmart materials without our prior written permission.
- •Certificates, badges or completion statements, where provided, may be revoked if issued due to error, fraud, misconduct, non-completion, plagiarism, account sharing or violation of these Terms.
- •You may use personal notes created by you during programs for your own learning, but you must not convert OutSmart materials into competing courses, coaching products, corporate training programs, public posts or commercial offerings.
Section 13: Third-Party Tools and Links
OutSmart may use or integrate third-party tools and services for payments, hosting, analytics, video conferencing, email, messaging, learning management, community, scheduling, AI functionality, customer support, advertising, or other operations. We may also link to third-party websites, resources, coaches, articles, job postings, partner platforms or social channels.
- •Third-party tools and websites are governed by their own terms, privacy policies, availability, security practices, payment rules and content standards.
- •We do not control and are not responsible for third-party content, websites, tools, errors, downtime, data practices, products, services, charges or transactions.
- •Your use of third-party services is at your own risk and discretion. You should review the relevant third-party terms and policies before using them.
References to third-party brands, employers, tools, platforms, frameworks or public resources do not imply endorsement unless expressly stated.
Section 14: Accuracy, Availability and Changes to Services
We aim to provide useful, timely and practical learning experiences. However, information on the Services may contain typographical errors, inaccuracies, omissions, outdated references, pricing errors, schedule changes or availability changes.
- •We may correct errors, update information, change program details, revise coaches, modify curriculums, cancel sessions, change prices, or update availability without prior notice, subject to applicable law and specific purchase commitments.
- •We do not guarantee that the Services will be uninterrupted, secure, error-free, compatible with every device, available in every location, or free from technical issues.
- •Some content may be based on coach experience, public information, learner discussions, community input or historical references and may not always reflect the latest developments.
- •We may perform maintenance, upgrades, security fixes, migrations or feature changes that temporarily affect access.
Section 15: Privacy and Personal Information
Your submission of personal information through the Services is governed by our Privacy Policy. By using the Services, you acknowledge that we may collect, use, process, store, share and protect your personal information as described in the Privacy Policy and as permitted by applicable law.
You agree not to submit another person's personal information, confidential employer information, third-party documents, sensitive information or proprietary material unless you have a lawful basis and permission to do so.
If you participate in community spaces, group cohorts, webinars, live sessions or 1:1 coaching, you understand that certain information you share may be visible to coaches, facilitators, peers, administrators or service providers depending on the format and privacy settings.
Section 16: Communications
By registering, purchasing, submitting forms, joining programs, booking sessions, subscribing to updates or contacting us, you agree that OutSmart may communicate with you through email, phone, SMS, WhatsApp, platform notifications, in-app messages, social channels or other contact methods you provide.
- •Service communications may include account updates, purchase confirmations, reminders, access links, session updates, security notices, policy updates, support responses and operational messages.
- •Marketing communications may include program updates, workshops, community activities, newsletters, articles, special reports, offers and OutSmart insights, subject to your communication preferences and applicable law.
- •You may unsubscribe from marketing communications where an opt-out option is provided. Some service, transactional, legal or security communications may still be necessary.
Section 17: Suspension and Termination
These Terms remain in effect while you access or use the Services. You may stop using the Services at any time. We may suspend, restrict or terminate your access to any Service, account, community, program or session if:
- •You breach these Terms, any program-specific terms, community rules, payment obligations or applicable law.
- •Your account appears fraudulent, unauthorised, duplicated, shared, compromised, abusive or harmful.
- •You misuse coaches, learners, staff, community spaces, AI tools, payment systems or platform infrastructure.
- •You engage in harassment, discrimination, intellectual property misuse, confidentiality breach, data misuse or conduct that may harm OutSmart, users, coaches or partners.
- •Continued access creates legal, safety, security, reputational, operational or ethical risk.
Upon termination, your right to access paid or free Services may cease immediately. Fees already paid may not be refundable unless required by applicable law or expressly provided under the applicable refund policy. Sections relating to intellectual property, payments due, user content licences, disclaimers, limitation of liability, indemnity, governing law and dispute resolution will survive termination.
Section 18: Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, OutSmart disclaims all warranties, representations and conditions, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted access, non-infringement, security, availability or reliability.
We do not warrant that the Services, content, coaches, AI outputs, recommendations, community discussions, third-party links, job-related information, learning materials or action plans will meet your expectations, produce specific results, be error-free, be current, or be suitable for every user, industry, geography, employer, institution or personal situation.
Section 19: Limitation of Liability
To the maximum extent permitted by law, OutSmart and its founders, directors, officers, employees, coaches, mentors, advisors, contractors, affiliates, service providers, licensors and partners shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, reputation, data, employment outcome, academic outcome, emotional distress, or other losses arising from or related to your use of the Services.
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the amount paid by you to OutSmart for the specific Service giving rise to the claim during the three months immediately preceding the claim, or INR 5,000, whichever is lower, unless a different limit is required by applicable law.
Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.
Section 20: Indemnification
You agree to defend, indemnify and hold harmless OutSmart and its founders, directors, officers, employees, coaches, mentors, advisors, contractors, affiliates, service providers, licensors and partners from and against any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising from or related to:
- •Your breach of these Terms or any applicable policy.
- •Your misuse of the Services, account, community, content, coaching sessions, AI tools or third-party tools.
- •Your violation of applicable law or third-party rights.
- •User Content submitted by you, including claims relating to intellectual property, privacy, confidentiality, defamation or misrepresentation.
- •Your decisions, actions, omissions or reliance on any educational, coaching, AI-generated or community-based content.
Section 21: Force Majeure
OutSmart shall not be liable for any delay, failure, interruption, cancellation or non-performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government action, legal restrictions, labour disputes, internet failures, platform outages, payment gateway issues, cyber incidents, power failures, coach illness, travel disruptions or third-party service failures.
Section 22: Governing Law and Dispute Resolution
These Terms and any separate agreement by which we provide you Services shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
Subject to any mandatory rights available under applicable law, the courts at Bangalore, Karnataka, India shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.
Before initiating formal proceedings, you agree to first contact us and attempt to resolve the dispute in good faith through our support or grievance process. This does not prevent either party from seeking urgent injunctive or equitable relief where necessary.
Section 23: Severability, Waiver and Entire Agreement
If any provision of these Terms is found unlawful, void or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain valid and enforceable.
Our failure to enforce any right or provision under these Terms shall not be treated as a waiver of that right or provision.
These Terms, together with our Privacy Policy, Refund and Cancellation Policy, Community Guidelines, program-specific terms and any other policies referenced on the website, constitute the entire agreement between you and OutSmart regarding your use of the Services.
Section 24: Changes to Terms
We may update, revise, modify or replace these Terms from time to time to reflect changes in our Services, business model, technology, legal requirements, pricing, policies or operational practices. When we do so, we will update the "Last updated" date on the website.
It is your responsibility to review the Terms periodically. Your continued use of the Services after updates are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Services.
